The Impact of COVID-19 on Existing Contracts: Is Performance Still Required?

As businesses work through the initial shock of the coronavirus pandemic and the economic impact that followed, many companies are now reassessing their contractual rights and obligations, including a boilerplate clause few had paid attention to before: force majeure. This course discusses whether force majeure or “act of God” clauses justify the suspension of performance of a party’s duties under the contract. It covers the details of a force majeure clause, differences among jurisdictions around the clause, common law defenses, contractual damages, and related contracting issues for the distilled spirits industry.

Learning Outcomes:
1. Understand what a force majeure clause is and how it is dealt with in different jurisdictions
2. Determine which contractual issues could arise for distilled spirit organizations with regard to these clauses
